Statute of Association  
At the Foundation Assembly held on 13 November 2003 in Zenica, and pursuant to Article 9 of the Law on Associations and Foundations of Bosnia and Herzegovina ("Official Gazette of BiH", No. 32/2001)

S T A T U T E
OF THE BOSNIA AND HERZEGOVINA QUALITY ASSOCIATION

has been adopted. BiH Quality Association is an association dealing with initiating, coordinating, and organising the activities related to improvement of quality culture, in all fields of human work in accordance with local and international standards.

I - TITLE, SEAT, AND SCOPE OF WORK

Article 1

The title of the Association is ASOCIJACIJA ZA KVALITET BOSNE I HERCEGOVINE .
The abbreviated title of the Association is: BiH QUALITY ASSOCIATION.
The title of the Association in English is: BOSNIA & HERZEGOVINA QUALITY ASSOCIATION .

Article 2

The Seat of the BiH QUALITY ASSOCIATION is in Zenica, at the address Fakultetska br. 1 .

Article 3

BiH QUALITY ASSOCIATION shall act in the territory of Bosnia and Herzegovina, being a uniform economic space.
If needed, BiH QUALITY ASSOCIATION shall network, that is, establish cooperation with similar local and international associations and groups.

II - SCOPE OF WORK OF THE BiH QUALITY ASSOCIATION AND THE PROGRAMME OBJECTIVES

Article 4

BiH QUALITY ASSOCIATION has been founded for the purpose of achieving the vision, mission, objectives and tasks thereof set out by this Statute.

Vision and Mission

Article 5

The vision of the BiH QUALITY ASSOCIATION as an organisation is to become:
- recognisable and recognised by individuals and other organisations as a reliable support in resolving the quality-related issues;
- respected by state institutions when considering quality initiatives and projects;
- an initiator of new ideas and creator of modern solutions in the field of quality in BiH.
The mission of the BiH QUALITY ASSOCIATION is:
- promoting the idea of quality at all levels, in all fields of work, and sectors within BiH;
- assistance in transferring of modern world and European knowledge in the field of quality in Bosnia and Herzegovina;
- creating conditions for networking and exchange of experience in the filed of quality system management among people, organisations, and institutions in Bosnia and Herzegovina.

Goals and objectives

Article 6

The goals of the BiH QUALITY ASSOCIATION are the following:
- organising professional and interest networking of membership through different forms of work: sections, branch offices, conferences, forums etc.;
- networking with recognised European and world quality organisations;
- cooperation with similar organisations from the neighbouring countries and a broader region;
- animation of political, economic, cultural, and other leaders for the development of the idea of quality in Bosnia and Herzegovina.
The tasks of the BIH QUALITY ASSOCIATION, aimed at achieving the objectives are:
- starting personal initiatives for improvement of the existing situation and building positive relationship towards the values of quality, such as: state quality programme, acknowledgements and awards for quality etc.;
- informing the public about the actions initiated and results achieved via different media;
- active engagement in celebrating the world and European festivities in the field of quality;
- cooperation with adequate institutions in Bosnia and Herzegovina aimed at creating relevant data base on holders of certain certificates and accreditations;
- organising different forms of gathering, such as cultural, leisure, sports and other activities.
- establishment and development of other forms of work for the purpose of achieving the objectives of the BiH QUALITY ASSOCIATION;
- establishment of the scheme for quality training and assessment in BiH based on the EU model.

III - TYPE OF ORGANISATION

Article 7

BiH QUALITY ASSOCIATION has the status of a legal entity with all the rights, responsibilities and liabilities set out by this Statute, which shall be obtained on the day of entering into the Registry.

Article 8

BiH QUALITY ASSOCIATION may found branch offices, that is, sections, which shall be an integral part thereof and have no capacity of a legal person. Branch offices may be founded on regional and sections solely on the trade principle.
The decision on forming branch offices or sections shall be made by the Steering Board upon the initiative of the interested parties, i.e. on the basis of personal assessment.

IV - MEMBERSHIP

Article 9

Membership in the BiH QUALITY ASSOCIATION is voluntary.
The status of a member shall be obtained based on the Statement of Admission.

Article 10

Members of the BiH QUALITY ASSOCIATION may be physical and legal persons from Bosnia and Herzegovina and other countries, which show interest and readiness for full participation in promoting the idea of quality, as well as all others accepting the principles of work and programme objectives of the BiH QUALITY ASSOCIATION.

Article 11

Membership in the BiH QUALITY ASSOCIATION shall terminate by
- withdrawal ;
- failure to pay for the membership fee;
- expulsion .
A member may withdraw from membership in the BiH QUALITY ASSOCIATION at any time by informing the Steering Board thereof. Membership shall terminate upon expiry of the following calendar month and receiving the notification of withdrawal.
The reason for expulsion is failure to pay annual membership fee upon expiration of 60 days after the deadline for payment.
The Disciplinary Panel may render the decision on expulsion of a member who has seriously violated the Statute or has caused damage by his/her actions to the achievement of the basic goals and the reputation of the BiH QUALITY ASSOCIATION.
The decision on the appeal against the decision by the Disciplinary Panel shall be made by the Assembly.

V - RIGHTS AND RESPONSIBILITIES

Article 12

All members are entitled to participate in the activities of the BiH QUALITY ASSOCIATION with the aim of achieving their basic goals, to select and be selected in the bodies of the BiH QUALITY ASSOCIATION and to exercise other rights and responsibilities in accordance with this Statute and other general documents.
Only citizens of BiH may be selected in the bodies of the Association.

Article 13

Members shall have the following responsibilities :
- maintain personal and the reputation of the BiH QUALITY ASSOCIATION;
- active participation in the work and achieving the objectives of the BiH QUALITY ASSOCIATION;
- respect and implement the rules and principles of work and behaviour of the BiH QUALITY ASSOCIATION;
- implement the decisions and conclusions by the bodies of the BiH QUALITY ASSOCIATION;
- regularly pay for the membership fee;
- uphold the Statute and the Decisions by the BiH QUALITY ASSOCIATION;
- meet all other responsibilities in accordance with the Statute and general documents of the BiH QUALITY ASSOCIATION.

Article 14

A member of the BiH QUALITY ASSOCIATION shall be held liable in:
1. disciplinary
2. material terms.
Disciplinary liability shall result in expulsion upon conducting disciplinary proceedings and a legally effective Decision by the competent body, and due to violation of official documents or decisions of the BiH QUALITY ASSOCIATION.
Material liability shall represent the liability for any material or non-material damage brought upon the BiH QUALITY ASSOCIATION.

VI - ASSOCIATION BODIES

Article 15

The BiH QUALITY ASSOCIATION bodies shall be the: Assembly, President, Steering Board and Supervisory Board.

Assembly

Article 16

Assembly is the highest body of the BiH QUALITY ASSOCIATION, composed of all the members.

Article 17

The BiH QUALITY ASSOCIATION shall be competent for:
- passing the Statute and deciding on the amendments thereof,
- passing the Book of Rules,
- selecting and dissolving of their duty the President, Deputy Presidents, Secretary, and the Steering Board Members;
- selecting and dissolving of their duty the Supervisory Board Members;
- selecting and dissolving of their duty the Members of the Disciplinary Committee;
- appointing permanent and temporary working bodies (committees, working groups, etc.);
- setting guidelines for the work of the BiH QUALITY ASSOCIATION;
- adopting the Work Programme;
- adopting the Financial Plan;
- rendering the Decisions on selection in the bodies of the BiH QUALITY ASSOCIATION;
- confirming decisions by the Steering Board on forming the branch offices, i.e. sections;
- considering and adopting the work report of the Steering and Supervisory Board and taking their standpoint regarding thereof;
- considering and adopting the report on work and financial operation of the Association;
- deciding on networking with the related local and international associations, organisations, and societies;
- awarding certificates of acknowledgements and awards for quality;
- deciding on appeals submitted to the Assembly;
- deciding on termination of existence of the BIH QUALITY ASSOCIATION;
- rendering decisions and other official documents, unless those are within the competence of the Steering Board;
- deciding on other issues of importance for work and the organisation of the BIH QUALITY ASSOCIATION, in accordance with the Law and this Statute.

Article 18

The Assembly shall select the President and two (2) Deputy Presidents of the Assembly from among their members for the term of office of two (2) years.

Article 19

The sessions of the Assembly shall be convened and chaired by the President of the BIH QUALITY ASSOCIATION.
In the event the President is prevented due to objective reasons, he/she shall be deputised by one of the Deputy Presidents with all the rights and responsibilities.
The sessions of the Assembly shall be held as needed, and as a minimum once a year.
Irregular sessions of the Assembly shall be held in special circumstances, upon the request by the Steering or the Supervisory Board, i.e. should the minimum of 1/3 of members of the BIH QUALITY ASSOCIATION request so in writing.

Article 20

The sessions of the BIH QUALITY ASSOCIATION shall be announced at least eight (8) days prior to holding the session with the notice containing the agenda, venue and date thereof.
In exceptional cases the session of the Assembly may be announced within a shorter deadline, however, not shorter than three (3) days prior to holding the session.

Article 21

The work of the Assembly shall be valid if more than one half of the total number of members is present.
Minutes shall be taken of the session of the Assembly, verified by the Chairman and the minutes taker. Organisation, procedure and decision making shall be regulated by Rules of Procedure.

Steering Board

Article 22

Steering Board is a collective executive body of the BIH QUALITY ASSOCIATION where all the members have equal rights and responsibilities for the work and functioning thereof.
The Steering Board shall be responsible for their work to the Assembly of the BIH QUALITY ASSOCIATION.
The procedure for selection of the Steering Board members shall be regulated in more detail by a special decision.
The Steering Board shall be lead by the President of the Steering Board and three (3) Deputy Presidents selected by the Assembly of the BIH QUALITY ASSOCIATION.

Article 23

The first convention of the Steering Board shall have thirteen (13) members, selected at the Foundation Assembly as follows:
- President and three Deputy Presidents;
- nine (9) members of the Steering Board individually selected by the Assembly.
The term of office for all the members of the Steering Board shall be two (2) years.
For the purpose of providing the continuity of the work, the term of office for one half of the Steering Board Members may be extended for another two (2) years.

Article 24

The Steering Board shall be responsible for :
- enforcing the decisions of the Assembly and deciding on all tasks between the two sessions of the Assembly;
- preparing and proposing amendments to the Statute;
- preparing the material for the sessions of the Assembly;
- preparing annual work plan and programme of the BIH QUALITY ASSOCIATION;
- setting the membership fee;
- preparing the financial plan and deciding on the enforcement thereof;
- taking care of the material-financial operation of the BIH QUALITY ASSOCIATION;
- managing the property of the BIH QUALITY ASSOCIATION;
- appointing the Secretary;
- selecting a Treasurer from among their members;
- selecting and dissolving of duty the members of the Disciplinary Committee;
- selecting the representatives of the BIH QUALITY ASSOCIATION and appointing the members of the working group, committee, and other working and temporary bodies;
- deciding on the relevant local and international associations, organisations, societies;
- making the decisions on founding the branch offices, i.e. sections of the BIH QUALITY ASSOCIATION, and harmonising, monitoring, and stimulating the work thereof;
- harmonising, monitoring, and stimulating the activities of the working bodies of the BIH QUALITY ASSOCIATION;
- verifying admission of new members of the BIH QUALITY ASSOCIATION;
- preparation of proposals for acknowledgments and decorations;
- preparation of proposals for quality acknowledgments and awards;
- making decisions on the disposal of property in the event of termination of work of the Association;
- making decisions within the competence of the Assembly subject to verification at the first following session of the Assembly;
- performing other duties and tasks arising from the programme objectives and work of the BiH QUALITY ASSOCIATION in accordance with the requests of the Assembly, Rules of Procedure, and this Statute.

Article 25

The Steering Board shall perform their duty in sessions.
The sessions of the Steering Boar shall be convened and chaired by the President.
The Steering board shall meet when needed, and at least once in three months.
A session of the Steering Board may be held if at least seven (7) members are attending.

Article 26

The decisions within the competence of the Steering Board shall, as a rule, be reached by consensus.
Should a consensus not be reached, the President shall propose voting on a decision, and the decisions shall be taken as valid if majority members of the Steering Board votes in favour thereof.
The Steering Board shall enact the Rules of Procedure, regulating in more detail the procedure for work and rendering decisions at the sessions of the Steering Board.

President of the BIH QUALITY ASSOCIATION

Article 27

President of the Steering Board shall at the same time be the President of the BiH QUALITY ASSOCIATION.
The President shall represent and present the BiH QUALITY ASSOCIATION, organise and coordinate the work thereof, convene and chair the sessions of the Steering Board, and carry out other tasks in accordance with the decisions, conclusions, and guidelines of the Assembly and the Steering Board.
Should the President be objectively prevented to attend, he/she shall be deputised by one of the Deputy Presidents.

Secretary of the BiH QUALITY ASSOCIATION

Article 28

Secretary of the BiH QUALITY ASSOCIATION shall be a professional carrying out organisational, legal administrative, technical, and other duties relevant to the functioning and work of the Steering Board.
The Secretary shall be appointed by the Steering Board for the term of office of two (2) years, with the possibility of extension, depending on the success in carrying out the working tasks and duties.

Supervisory Board

Article 29

Supervisory Board shall be selected by the Assembly of the BiH QUALITY ASSOCIATION from among them for the term of office of two (2) years.
Members of the Supervisory Board shall not be members of the Steering Board at the same time.
Supervisory Board shall be composed of three (3) members, who shall select the President from among themselves.
Decisions shall, as a rule, be reached by consensus, and exceptionally by majority vote.

Article 30

Supervisory Board shall supervise the implementation of the provisions of the Statute and the conclusions reached by the Assembly, control the work of the bodies of the BIH QUALITY ASSOCIATION, as well as their public work and the disposal of financial and other means and the property of the BIH QUALITY ASSOCIATION.
Supervisory Board shall be obliged to give a warning to the President or the Steering Board of any irregularities noticed and demand that they be removed. Should the Steering Board fail to act upon the request by the Supervisory Board, the Supervisory Board shall be obliged to inform the Assembly thereof.
The Supervisory Board shall be responsible for their work to the Assembly of the BIH QUALITY ASSOCIATION , to which the said shall submit the work report at least once a year.

VII - FINANCIAL-MATERIAL OPERATION

Article 31

BIH QUALITY ASSOCIATION shall gain funds by means of membership fee, sponsorship, and other sources in accordance with the Law on Associations and Foundation of BiH.
The amount of and manner of payment of the membership fee shall be set by a special decision of the Steering Board.

Article 32

Financial-material operation of the BIH QUALITY ASSOCIATION shall be carried out in accordance with the adopted financial plan, law and relevant regulations.
Financial-material operation of the BIH QUALITY ASSOCIATION shall be managed by the Treasurer, or an authorised legal or physical entity with which the Association concludes a contract.
Financial assets shall be managed by the President of the BIH QUALITY ASSOCIATION.
Authorised signatories of the financial documentation shall be the President and the Secretary of the BIH QUALITY ASSOCIATION.
Financial-material operations of the BIH QUALITY ASSOCIATION shall be public, meaning that each member shall have the right to inspect the disposal of the financial and other assets.

VIII - OPENESS TO PUBLIC

Article 33

The work of the BIH QUALITY ASSOCIATION and the bodies thereof shall be open to public.
The President and Secretary of the BIH QUALITY ASSOCIATION shall be responsible for the work thereof.
The openness to public shall be achieved:
- by enabling the representatives of media to attend the sessions of the bodies and to follow the activities of the BIH QUALITY ASSOCIATION;
- by sending information and press releases to the media;
- in other customary ways.

IX - ADOPTION AND AMENDMENTS TO THE STATUTE

Article 34

Adoption as well as amendments to the Statute shall be made by the Assembly with a two-third majority.
The procedure for amendments to the Statute may be initiated by the Steering Board upon the proposal of the BIH QUALITY ASSOCIATION members.

X - TERMINATION OF WORK OF THE ASSOCIATION

Article 35

BIH QUALITY ASSOCIATION may terminate their work based on the decision by the Assembly or based on the decision of the competent state body in accordance with law.

XI - SEAL

Article 36

BIH QUALITY ASSOCIATION shall have a seal, circular in shape, 35 mm in diameter, with a stylized mark in the centre, as well as the following title both in Latin and Cyrillic letters, mutually separated by a star, along the border of the cycle: * ASOCIJACIJA ZA KVALITET BOSNE I HERCEGOVINE * ASOCIJACIJA ZA KVALITET BOSNE I HERCEGOVINE * . The seal shall also contain the translation of the title of the Association into English: BOSNIA & HERZEGOVINA QUALITY ASSOCIATION.
The number of seals, the use and storage thereof shall be regulated by a special Decision by the Steering Board.
The Steering Board shall make decisions on the form of the seal and any changes thereto.
The Steering Board may decide on the use and utilisation of other forms of presentation upholding the standards set by the law.

XII - REPRESENTATION AND PRESENTATION OF THE BIH QUALITY ASSOCIATION

Article 37

BIH QUALITY ASSOCIATION shall be represented and presented by the President.
Should the President be prevented in any way, the Association shall be represented by the Deputy President, or a member of the Steering Board assigned thereto by the President.

XIII - PROCEDURE FOR MERGING, SEPARATION, TRANSFORMATION AND TERMINATION OF OPERATION OF THE BIH QUALITY ASSOCIATION

Article 38

The Assembly shall, by two-third majority vote decide on merging, separation, transformation and termination of operation or any other change of status of the BIH QUALITY ASSOCIATION in the manner provided for by the Law on Associations and Foundations of BiH.

XIV - DISPOSAL OF PROPERTY UPON TERMINATION OF OPERATION OF THE BIH QUALITY ASSOCIATION

Article 39

Should the BIH QUALITY ASSOCIATION terminate their work, all the documents, funds and property shall become the ownership of the organisation to be founded with similar objectives, i.e. the same scope of work as that of the BIH QUALITY ASSOCIATION, which shall be decided by the Steering Board.

XV FINAL PROVISIONS

Article 40

Interpretation of the provisions of the Statute will be given by the BiH Quality Association.

Article 41

The Statute shall enter into force on the day of its passing, and it shall be applied upon entry into Registry.
